SyncWin Licensing Agreement
Effective Date: February 27, 2025
This Licensing Agreement (“Agreement”) governs the use of digital products (“Products”) purchased from SyncWin (“we” or “us”). By purchasing or downloading any Product, you (“you” or “Customer”) agree to comply with these terms.
1. License Tiers
1.1 Personal Use License:
- This license is intended for individual, non-commercial projects. If you plan to use our Products for personal, non-income-generating activities, this license applies.
- Examples include using website templates for a personal blog or using AI prompts for personal creative projects.
1.2 Commercial Use License:
- This license is designed for business and commercial projects. If you plan to use our Products for income-generating activities or deliver them to clients, this license applies.
- Examples include using our website templates for client projects or integrating AI-generated art into commercial marketing materials.
2. Permitted Usage
2.1 Modifications:
- You are allowed to modify and adapt our Products to suit your needs. However, the modified versions must still comply with this Agreement.
- Example: You can customize website templates to match your brand, but any modifications remain subject to this Agreement.
2.2 Prohibited Uses:
- You are not permitted to resell, redistribute, or offer our Products as part of your own offerings in any form. This includes, but is not limited to:
- Selling our Products as-is to third parties.
- Including our Products in a bundle or package that you resell.
- You must not use our Products in unethical or restricted industries, including but not limited to adult content, gambling, or any other illegal or hateful purposes.
3. Intellectual Property and Ownership
3.1 Ownership Retention:
- All Products remain the intellectual property of SyncWin. Purchasing a Product grants you a non-exclusive, non-transferable license to use the Product under these terms.
- You do not acquire ownership rights to any Product.
3.2 Unique Product Terms:
- Some Products may have unique restrictions and conditions, such as AI-generated art. For these Products, you may not claim ownership or authorship of the underlying artwork.
- Templates may be customized for use but cannot be sold or resold.
4. Attribution
4.1 Attributions:
- Generally, you are not required to give credits or acknowledgments for using our Products. However, if specific attribution requirements are applicable for a particular Product, they will be noted in the relevant product page and documentation.
5. Third-Party Assets
5.1 Third-Party Content:
- Some of our Products may include third-party assets, such as images and icons from platforms like Freepik.
- You are responsible for obtaining the necessary licenses or permissions from these third-party providers if you choose to use their assets in your projects. SyncWin does not grant any rights to these assets, and they must be replaced or licensed separately if used beyond the scope of your personal projects.
6. Termination
6.1 Violations:
- Failure to comply with the terms of this Agreement may result in the termination of your license to use our Products.
- In the event of termination, you must cease all use of the Products immediately.
- SyncWin reserves the right to revoke access to Products and pursue legal remedies for any breaches of this Agreement.
7. Changes to the Agreement
SyncWin reserves the right to modify or update this Agreement at any time. Any changes will be effective immediately upon posting the updated Agreement on our website. Your continued use of the Products after changes are posted constitutes your acceptance of the updated Agreement. It is your responsibility to review the Agreement periodically to stay informed about any updates.
